Terms and Conditions Effective Date: September 21, 2026 Last Updated: September 21, 2026 These Terms and Conditions (“Terms”) govern your use of the BasementCloud website and the services provided by BasementCloud (“BasementCloud,” “we,” “us,” or “our”). By using our website or engaging our services, you agree to these Terms. If you are using our services on behalf of an organization, you confirm that you have authority to accept these Terms on its behalf. 1. Our Services BasementCloud provides managed IT, technical support, cloud, cybersecurity, networking, backup, monitoring, consulting, and related technology services. The specific services provided to a customer, including pricing, service levels, and scope, may be governed by a separate agreement, statement of work, quote, or service agreement. Where such an agreement conflicts with these Terms, the specific customer agreement will take precedence. 2. Acceptable Use You agree to use our website and services lawfully and responsibly. You must not: attempt to gain unauthorized access to our systems or another person's systems; introduce malware, viruses, or other harmful code; interfere with the operation or security of our services; use our services for unlawful, fraudulent, or abusive activities; or infringe the rights of BasementCloud or any third party. We may suspend access where reasonably necessary to protect our systems, customers, or other users. 3. Customer Responsibilities Customers are responsible for providing accurate information and reasonable access needed for BasementCloud to deliver services. You must ensure that you have the authority to provide us with access to your systems, accounts, networks, devices, and data. You are also responsible for maintaining appropriate credentials, permissions, licenses, and internal security practices for systems under your control. 4. Third-Party Services Our services may rely on third-party software, cloud platforms, internet providers, hosting providers, security products, and other services. Third-party services are subject to their own terms and policies. BasementCloud is not responsible for outages, changes, security incidents, or other failures caused by third-party providers, except where otherwise agreed in writing. 5. Backups and Security Where we provide backup, cybersecurity, or recovery services, the applicable service agreement will define the specific coverage, retention, recovery objectives, and responsibilities. No backup or cybersecurity solution can guarantee complete protection against every form of data loss, system failure, security incident, or unauthorized access. Customers remain responsible for identifying their critical systems and data and following reasonable security and backup practices. 6. Availability We make reasonable efforts to provide reliable services, but services may occasionally be interrupted because of maintenance, technical failures, third-party outages, security incidents, internet or power failures, or circumstances beyond our reasonable control. Any specific uptime, response-time, or service-level commitments will be governed by the applicable customer agreement. 7. Fees and Payment Service fees and payment terms are established by the applicable quote, invoice, or customer agreement. Customers are responsible for applicable taxes and approved third-party costs. Additional work outside an agreed service scope may be subject to additional charges. 8. Intellectual Property BasementCloud retains ownership of its website, branding, documentation, tools, processes, software, and other materials that we own or develop. Customers retain ownership of their own data and materials. You grant BasementCloud the limited rights necessary to access and process customer systems and data for the purpose of providing our services. 9. Privacy Our collection, use, and protection of personal information is described in our Privacy Policy. Please review our Privacy Policy for more information about how we handle personal information. 10. Disclaimer We provide our website and services using reasonable care and skill. However, we do not guarantee that the website or services will always be uninterrupted, error-free, completely secure, or capable of preventing every cybersecurity incident or data loss. Nothing in these Terms excludes or limits any rights or remedies that cannot legally be excluded or limited under applicable law. 11. Limitation of Liability To the maximum extent permitted by applicable law, BasementCloud will not be responsible for indirect, incidental, special, consequential, or punitive damages, or for losses such as lost profits, revenue, business opportunities, goodwill, or data. Any liability relating to contracted services will be subject to the limitations contained in the applicable customer agreement and applicable law. 12. Changes to These Terms We may update these Terms from time to time to reflect changes to our services, business practices, or legal requirements. The current version will be posted on this website with its effective date. Your continued use of our website or services after changes take effect constitutes acceptance of the updated Terms, where permitted by law. 13. Governing Law These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada. Subject to any applicable customer agreement or mandatory legal requirements, disputes will be subject to the courts of Ontario having appropriate jurisdiction. 14.
